Chromatics Europe – Anti-Bribery & Corruption Policy

1. Purpose of This Policy

Chromatics Europe is committed to conducting all business activities with integrity, transparency, and accountability.
This policy outlines our zero-tolerance approach to bribery and corruption in accordance with:

· The UK Bribery Act 2010

· EU Anti-Corruption legislation and directives

· Local laws in all jurisdictions where we operate

All employees, contractors, agents, distributors, and third-party partners must comply with this policy.


2. What Is Bribery?

Bribery involves offering, giving, receiving, or requesting anything of value to influence a business decision improperly.
This includes (but is not limited to):

· Cash or cash equivalents

· Gifts or hospitality that go beyond reasonable business courtesy

· Kickbacks or “facilitation payments”

· Favourable treatment, discounts, or benefits

· Donations or sponsorships intended to influence decisions

Both direct and indirect bribes are prohibited.

  

3. Zero-Tolerance Policy

Chromatics Europe strictly prohibits:

· Offering or accepting bribes in any form

· Making facilitation payments (small payments to speed up routine actions)

· Attempting to influence public officials improperly

· Using third parties to perform illegal acts on the company’s behalf

· Concealing, falsifying, or altering financial or business records

Any breach of this policy will lead to disciplinary action, including termination of employment or contract, and may lead to legal consequences.

  

4. Gifts, Hospitality & Entertainment

Reasonable and proportionate business courtesies are permitted only if:

· They are not intended to influence any decision

· They are lawful and transparent

· They are of modest value

· They are approved according to company procedures

Employees must never offer or accept gifts or hospitality that could be seen as improper or excessive.

  

5. Interactions with Government Officials

Additional caution must be taken when dealing with:

· Public authorities

· Regulatory bodies

· Customs officials

· State-owned enterprises

No employee or representative may offer any benefit—financial or otherwise—to influence official decisions.

  

6. Third-Party Due Diligence

Chromatics Europe will perform due diligence on:

· Agents

· Distributors

· Consultants

· Suppliers and subcontractors

All third parties must agree to comply with this policy. Suspicious behaviour or resistance to compliance requirements must be reported immediately.

  

7. Accurate Records & Controls

The company must maintain accurate financial and business records.
Employees must ensure:

· All transactions are fully documented

· No undisclosed or unrecorded accounts exist

· Payments are transparent, legitimate, and supported by contracts/invoices

False entries or omissions are strictly prohibited.


8. Reporting Concerns

Employees must report any suspected bribery or corruption. Reports can be made to:

· Line Manager

· Compliance Officer

· Senior Management

Reports will be treated confidentially and without retaliation.


9. Training & Awareness

Chromatics Europe will provide regular training to ensure all staff and partners understand:

· Legal obligations

· Risks associated with bribery

· How to recognise and report suspicious behaviour


10. Responsibilities

Employees must:

· Read and understand this policy

· Act honestly and uphold company values

· Report any suspected violations

Managers must:

· Lead by example

· Ensure that teams understand and comply

· Investigate concerns promptly

Third parties must:

· Follow equivalent anti-bribery standards

· Agree to contractual compliance terms


11. Consequences of Non-Compliance

Breaching this policy may result in:

· Disciplinary action

· Contract termination

· Reporting to regulatory authorities

· Criminal prosecution under UK/EU law

This policy is owned by the Compliance/Management Team of Chromatics Europe.
It will be reviewed annually or when regulatory changes occur.


Health & Safety Policy

1. Policy Statement

The Company is committed to providing a safe, healthy, and secure working environment for all employees, contractors, visitors, and any individuals affected by our operations.
We comply with:

· The UK Health and Safety at Work etc. Act 1974

· EU Occupational Safety & Health (OSH) directives

· Relevant local health and safety laws

· Industry-specific best practices

We aim to prevent accidents, injuries, and work-related ill health through proactive risk management and continuous improvement.

  

2. Objectives

Our key health and safety objectives are to:

· Maintain a safe workplace with properly controlled risks

· Ensure all employees understand their responsibilities

· Provide appropriate training, equipment, and supervision

· Promote a positive safety culture with open communication

· Prevent incidents and reduce hazards wherever possible

· Comply with all regulatory requirements and standards

  

3. Responsibilities

3.1 Management Responsibilities

Management will:

· Provide safe systems of work, equipment, and facilities

· Conduct risk assessments and implement control measures

· Ensure employees receive adequate training and information

· Investigate accidents and take corrective action

· Maintain safety documentation and statutory records

· Provide PPE where necessary

· Review this policy annually


3.2 Employee Responsibilities

Employees must:

· Take reasonable care of their own health and safety

· Follow all safety procedures, instructions, and training

· Correctly use equipment, machinery, and PPE

· Report hazards, near-misses, and unsafe conditions immediately

· Not misuse or interfere with safety equipment

· Cooperate with management to ensure safe working conditions


3.3 Contractors & Visitors

Contractors and visitors must:

· Comply with company safety rules

· Follow site induction procedures where required

· Use appropriate protective equipment

· Report any incidents or hazards

  

4. Risk Assessment & Control

The Company will:

· Conduct regular risk assessments for all relevant activities

· Identify hazards and evaluate risks

· Implement measures to eliminate or minimise risk

· Review assessments annually or when operations change

Typical risks addressed include:

· Chemical handling

· Manual handling

· Machinery and equipment use

· Fire safety

· Slips, trips, and falls

· Storage and warehousing hazards

  

5. Safe Working Procedures

We will maintain safe systems including (where applicable):

· Proper handling, storage, and disposal of chemicals

· Safe operation of equipment and machinery

· Use of PPE (gloves, goggles, respirators, etc.)

· Emergency procedures and first-aid access

· Manual handling techniques

· Good housekeeping practices

Standard Operating Procedures (SOPs) will be documented and communicated clearly.


6. Training & Competence

The Company will provide:

· Induction training for all new employees

· Job-specific health and safety training

· Ongoing refreshers and updates

· Training records for compliance and auditing purposes

Employees must not undertake tasks for which they are not trained or competent.


7. Incident Reporting & Investigation

All accidents, incidents, and near-misses must be:

· Reported immediately to the Health & Safety Officer

· Recorded in the accident log

· Investigated to identify root causes

· Followed by corrective and preventive actions

Serious incidents will be reported to relevant authorities (e.g., RIDDOR in the UK).


8. Emergency Preparedness

The Company will maintain:

· Fire evacuation procedures

· Designated fire wardens

· First-aid kits and trained first-aiders

· Emergency contact lists

· Spill response procedures (where chemicals are involved)

· Regular drills and equipment checks


9. Workplace Environment

10. Monitoring & Review

We recognise our duty to minimise environmental impact, comply with environmental legislation, and continually improve our environmental performance.

This policy meets the requirements of:

· UK Environmental Protection Act 1990

· UK Environmental Permitting Regulations

· EU Environmental Directives (including Waste, Air Quality, Water Framework, and REACH)

· Any relevant national and local environmental laws
